Terms of Service

These Terms of Service (the "Terms") constitute a legally binding agreement between Cookd AI Inc., a Delaware corporation ("Company", "we", "us", or "our") and the individual ("you", "User") accessing or using the People Search platform and related services (collectively, the "Services").
By accessing or using the Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms, including our Privacy Policy. If you do not agree, do not use the Services. You must be at least 18 years old to use the Services. If you use the Services on behalf of an entity, you represent and warrant that you are authorized to bind that entity to these Terms.
1. Access & Service
1.1 License
Subject to compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Services for personal or internal business purposes.
1.2 Account & Security
You must provide accurate, current, and complete registration information, safeguard your credentials, and are responsible for all activities under your account. You must notify us promptly of any unauthorized use. You may register and log in using email and password or through Google OAuth. When using third-party authentication services, you authorize us to access and use the information provided by that service in accordance with our Privacy Policy.
1.3 Invite Codes
Access to the Services requires a valid invite code during registration. Invite codes are subject to the following terms:
- (a) Invite codes are provided for registration purposes only and carry no monetary value.
- (b) Each invite code has a limited number of permitted uses. Once an invite code has reached its maximum use count, it will no longer be valid for registration.
- (c) Upon successful registration, you will receive a limited number of personal invite codes that you may share with others. These personal invite codes are non-transferable for value and may not be sold, auctioned, or exchanged for any form of compensation.
- (d) We reserve the right to revoke, disable, or modify invite codes at any time without prior notice.
- (e) Any attempt to abuse, manipulate, or circumvent the invite code system (including but not limited to creating multiple accounts, generating codes through automated means, or using codes obtained through unauthorized channels) may result in suspension or termination of your account.
1.4 Prohibited Conduct
You may not:
- (a) Violate any applicable laws, regulations, or third-party rights;
- (b) Scrape, harvest, crawl, or systematically extract data from the Services through automated means;
- (c) Send spam, unauthorized outreach, or misrepresent your identity or consent;
- (d) Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Services;
- (e) Disrupt, overload, or interfere with the operation of the Services or any servers or networks connected thereto;
- (f) Create multiple accounts for the purpose of circumventing invite code restrictions, usage limits, or other access controls;
- (g) Share, redistribute, or publicly disclose any non-public information obtained through the Services without authorization;
- (h) Submit Sensitive Data as Inputs except as permitted under Section 2.5;
- (i) Use information obtained through the Services (including but not limited to names, contact details, employment history, or educational background of individuals appearing in search results) to harass, stalk, threaten, or intimidate any person;
- (j) Use search results to make or inform decisions that discriminate against individuals based on race, color, religion, sex, sexual orientation, gender identity, national origin, age, disability, genetic information, or any other characteristic protected by applicable law, including but not limited to decisions related to employment, housing, credit, education, or public accommodation;
- (k) Use search results to compile dossiers, profiles, or databases of individuals for surveillance, tracking, or monitoring purposes without a lawful basis;
- (l) Contact individuals identified through the Services in a manner that violates applicable anti-spam, telemarketing, or electronic communication laws (including CAN-SPAM, TCPA, GDPR, and equivalent local regulations);
- (m) Redistribute, resell, sublicense, or make available search results in bulk to any third party, whether for commercial or non-commercial purposes. Users may not use the Services to create, maintain, enhance, or sell a separate database of personal information, lead lists, surveillance lists, identity graphs, or profiles of individuals, except for limited internal use directly related to a lawful and legitimate purpose.
Violations may result in immediate suspension or termination of your account under Section 6.
1.5 Search Results & Third-Party Information
- (a) Search results provided through the Services may contain personal information of third-party individuals derived from publicly available sources, third-party data providers, user-provided inputs, AI-generated or inferred information, and/or other lawful sources. Public availability of information does not mean that such information may be used for all purposes.
- (b) You are solely responsible for ensuring that your use of any third-party personal information obtained through the Services complies with all applicable laws and regulations in your jurisdiction, including but not limited to data protection laws (e.g., GDPR, CCPA), anti-discrimination laws, and communications regulations.
- (c) If any individual whose information appears in search results requests removal of their data, we will process such requests in accordance with applicable law. You agree to delete any previously obtained information about such individual upon notification from us.
- (d) The Company does not guarantee the accuracy, completeness, or currency of any third-party information provided through the Services. You must independently verify any information before relying on it for any purpose.
1.6 No Consumer Reports or Eligibility Decisions
The Services are not a consumer reporting agency, and the information provided through the Services does not constitute a "consumer report" under the Fair Credit Reporting Act ("FCRA") or any similar law. You may not use the Services, search results, Outputs, or any information obtained through the Services to determine, evaluate, or verify any individual's eligibility for employment, housing, credit, insurance, education, public benefits, licensing, or any other right, benefit, or opportunity. You may not use the Services for background checks, tenant screening, employment screening, credit screening, insurance underwriting, or similar purposes.
1.7 Data Use and Compliance
You are solely responsible for ensuring that your use of search results and third-party personal information complies with all applicable privacy, data protection, anti-discrimination, anti-stalking, anti-harassment, electronic communications, telemarketing, and data broker laws. Public availability of information does not mean that such information may be used for any purpose. We may restrict, suspend, or terminate access where we reasonably believe your use may violate applicable law, these Terms, or the rights or safety of any person.
1.8 Abuse Monitoring and Export Controls
We may monitor account activity, search patterns, export volume, API usage, invite-code activity, and other usage signals to detect fraud, scraping, spam, harassment, stalking, unlawful surveillance, or other misuse. We may impose limits, disable exports, require additional verification, suspend accounts, or terminate access at any time where we reasonably believe misuse has occurred.
1.9 Usage Restrictions
We may impose or adjust limits on usage, data access, export volume, or concurrency to maintain service stability, prevent abuse, or comply with applicable laws.
2. AI & Content
2.1 AI Disclaimer
The Services utilize AI and machine learning systems to provide search and enrichment capabilities. AI systems have inherent limitations; outputs may be inaccurate, incomplete, outdated, or biased. You must independently verify any information obtained through the Services and use outputs at your own risk. The Services are not a substitute for professional judgment or due diligence.
2.2 Ownership
Between you and us, you retain ownership of your inputs ("Input"). Outputs generated by the Services ("Output") are provided for your informational use. Outputs may not be unique across users and may include information derived from publicly available sources.
2.3 Operational License
You grant us a worldwide, royalty-free, non-exclusive license to process your Inputs as necessary to operate and maintain the Services, enforce these Terms, and improve systems in aggregated or de-identified form. We do not use your personal search queries or Inputs to train AI models in an identifiable manner.
2.4 Third-Party AI Services
Inputs may be processed by third-party AI service providers subject to confidentiality obligations. We disclaim liability for the availability, accuracy, or performance of third-party AI services.
2.5 Content Restrictions and Sensitive Data
You may not submit unlawful, infringing, defamatory, or harmful content through the Services. Users may not submit Sensitive Data as Inputs unless expressly authorized by Company in writing. Company does not intentionally solicit Sensitive Data as user Inputs. Sensitive Data includes, without limitation, government IDs, medical or health data, precise geolocation, financial credentials, minors' data, criminal records, or data revealing race, political opinions, religion, union membership, genetics, biometrics, or sexual orientation. To the extent search results contain sensitive or sensitive-adjacent information, such information is provided only where permitted by applicable law and may not be used for discriminatory, unlawful, invasive, or harmful purposes.
2.6 Output Liability Disclaimer
We disclaim liability for Outputs that may be inaccurate or infringe third-party rights. You are solely responsible for ensuring that your use of Outputs complies with applicable laws and the rights of others.
3. Intellectual Property
3.1 Our Rights
We retain all rights, title, and interest in and to the Services, including all software, systems, algorithms, methods, designs, trademarks, and usage data. Nothing in these Terms grants you any right to our intellectual property except as expressly set forth herein.
3.2 Feedback
Any feedback, suggestions, or ideas you provide regarding the Services may be freely used by us without any obligation or compensation to you.
4. Privacy
4.1 Privacy Policy
Processing of personal data is governed by our Privacy Policy. By using the Services, you consent to all actions taken concerning your personal information in compliance with the Privacy Policy.
4.2 Account Deletion
You may request account deletion by contacting support@peoplesearch.icu. We will handle requests in compliance with applicable law.
4.3 Data Broker, Privacy Rights, and Deletion Requests
The Company may be subject to certain data broker, privacy, and consumer deletion request laws. We will process opt-out, access, correction, and deletion requests as described in our Privacy Policy and as required by applicable law.
5. Disclaimers & Limitation of Liability
5.1 Disclaimer
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AVAILABILITY, ACCURACY, OR RELIABILITY. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
5.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES. OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100).
5.3 Service Interruptions
The Services may be affected or disrupted by factors beyond our reasonable control. You understand and agree that we shall not be liable for any suspension, interruption, or loss caused by:
- (a) Force majeure events, including but not limited to government actions, natural disasters, wars, strikes, epidemics, or pandemics;
- (b) Factors beyond our control, including power outages, communication network failures, cyberattacks, malicious software, or defects in third-party services;
- (c) Scheduled or emergency maintenance, upgrades, or servicing of systems or equipment. We will endeavor to provide advance notice where practicable.
6. Termination
6.1 Suspension and Termination
We may suspend or terminate your account immediately and without prior notice for violations of these Terms, applicable laws, or for risk management purposes. You may request account closure by emailing support@peoplesearch.icu.
6.2 Effect of Termination
Upon termination: (a) your right to access and use the Services ceases immediately; (b) any unused invite codes associated with your account are voided; (c) your data may be deleted in accordance with our Privacy Policy and applicable law. Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) shall remain in full force and effect.
7. Indemnification
You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, agents, and affiliates from and against any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Services; (b) your breach of these Terms; (c) your violation of any applicable law or third-party rights; or (d) any content you submit through the Services.
8. Governing Law & Dispute Resolution
8.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
8.2 Arbitration
For any disputes, claims, or controversies arising out of or relating to these Terms or the Services, you and the Company agree to resolve such matters through binding individual arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall take place in New York, New York. YOU AGREE THAT ANY ARBITRATION SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If for any reason a claim proceeds in court rather than in arbitration, you and the Company each waive the right to a jury trial.
8.3 Exceptions to Arbitration
Either party may bring an individual claim in small claims court where permitted. Nothing in this Section prevents either party from seeking injunctive or equitable relief for unauthorized use, misuse of data, intellectual property violations, or security abuse.
8.4 EU/UK Consumers
Consumers in the European Union or the United Kingdom retain all mandatory rights and remedies available under their local consumer protection laws, which shall not be limited by these Terms.
9. Miscellaneous
9.1 Children
The Services are not directed to individuals under the age of 18. We do not knowingly collect personal information from children. If we become aware that a minor has created an account, we may terminate the account and delete related data.
9.2 Export Controls
You may not access or use the Services in any country or territory that is subject to comprehensive U.S. economic sanctions (including, but not limited to, those identified by OFAC, the EU, or the UN).
9.3 Changes to These Terms
We may modify these Terms from time to time. If we make material changes, we will update the "Last Updated" date and, where required, notify you through the Services or by email. Changes take effect immediately for new users and 7 days after notice for existing users. Your continued use of the Services after the effective date constitutes acceptance of the modified Terms.
9.4 Assignment
You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may assign these Terms freely without restriction.
9.5 Waiver & Severability
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it enforceable.
9.6 Entire Agreement
These Terms, together with the Privacy Policy and any other terms incorporated by reference, constitute the entire agreement between you and the Company regarding the Services and supersede all prior agreements, understandings, and communications.
